Milbank LLP hat die NCG-NuCom Group SE beim Verkauf der Verivox Gruppe an die italienische Moltiply Group rechtlich beraten. Die Transaktion wurde am 21. März 2025 unterzeichnet und vollzogen. Verivox wurde von ProSiebenSat.1 über ihre Tochtergesellschaft NuCom Group gehalten, an der General Atlantic mit 28,4 % beteiligt ist. Der Transaktion liegt ein Equity Value von rund 232 Millionen Euro zugrunde. Darüber hinaus umfasst die Vereinbarung eine Earn-Out-Komponente von bis zu 60 Millionen Euro, die an das Erreichen bestimmter Ergebnisziele im Geschäftsjahr 2025 geknüpft ist.
