뿐만 아니라 비마이프렌즈는 인수 후보 중에서도 지분 매입 단가와 투자 규모 등 정량평가 요인이 가장 떨어졌음에도 우선협상대상자로 선정됐다. 결과적으로 SK스퀘어가 금번 거래에서 '가격'보다는 '사업적 시너지'를 최우선시 했다는 평가가 나온다. 7일 투자은행(IB)업계에 따르면 최근 드림어스컴퍼니는 이사회 결의를 통해 임시주주총회 소집안을 확정했다. 이기영 비마이프렌즈 각자 대표이사를 사내이사로 재선임하고 서우석 비마이프렌즈 각자 대표이사와 김재인 SK스퀘어 최고투자책임자(CIO)를 기타비상무이사로 신규 선임하는 내용이 골자다. 아직까지 최대주주가 변경되기 전인 만큼 SK스퀘어의 합의가 전제가 돼야 하는 사안으로 파악된다. 주목할 점은 비마이프렌즈가 아직 드림어스컴퍼니 인수를 위한 잔금을 내기도 전에 이사회 구성부터 바꿨다는 점이다. 잔금 납입으로 딜클로징이 되기 전에 이사진을 바꾸는 것은 자칫 거래 리스크로 이어질 수 있다. 극단적으로 인수 예정자가 잔금 납입 기한을 맞추지 못해 딜이 어그러질 수도 있고, 종결 이전에 경영상 문제가 발생한다면 책임 소재가 모호해질 수 있기 때문이다. 이에 사모펀드(PE) 업계에서는 잔금일과 동시에 대표이사 등 이사진 구성을 바꾸는 작업을 진행하는 것이 일반적이다. 비마이프렌즈는 오는 28일 잔금을 납입하기로 약속해뒀지만 경우에 따라 일정이 조정될 수 있다는 여지도 남겨둔 상태다. 그럼에도 불구하고 SK스퀘어가 선제적으로 경영권 이양 절차에 합의한 것은 이례적이라는 평가다. 흥미로운 점은 비마이프렌즈가 본입찰 당시 정량평가 측면에서 다른 후보자들에 비해 불리한 위치에 있었다는 점이다. 대명GEC와 컨소시엄을 구성했던 JC파트너스는 드림어스컴퍼니 매입 단가를 주당 3000원 이상 제시한 것으로 알려졌다. 또 다른 입찰 참여자인 부산에쿼티파트너스(BEP)는 신한벤처투자의 보유 물량에 더해 SK스퀘어가 보유한 지분의 대부분을 인수하겠다는 의사를 밝히며 공격적인 조건을 내놓은 것으로 전해진다. 반면 비마이프렌즈는 주당 약 2360원 수준에서 지분 인수를 제시했고, 결과적으로 SK스퀘어와 2대 주주인 신한벤처투자가 보유한 지분을 일부만 확보하게 됐다. 가격이나 매입하겠다고 약속한 규모 등을 놓고 보면 경쟁력이 낮은 제안인 셈이다.
